1. About these Terms
These Terms and Conditions (the “Terms”) govern your access to and use of the website aurum-labs.co (the “Site”) and the purchase of any products listed for sale on the Site. The Site is owned and operated by AurumLabs Ltd, a company registered in England and Wales (the “Company”, “we”, “us”, “our”).
By accessing the Site, placing an order, or otherwise engaging with us, you confirm that you have read, understood and agree to be bound by these Terms in full. If you do not agree to these Terms, you must not use the Site or place an order with us.
These Terms incorporate by reference our Privacy Policy and Returns Policy, both available on the Site. In the event of any conflict between these Terms and a separate written agreement signed by both parties, the signed agreement shall prevail.
2. Definitions
“Buyer”, “you”, “your” means the person or entity placing an order or otherwise using the Site.
“Products” means the research peptides, reagents, supplies and any other items listed for sale on the Site.
“Order” means an order submitted by you for Products through the Site.
“Contract” means the legally binding agreement formed between you and the Company once an Order is accepted in accordance with clause 4.
3. Research Use Only — Critical Disclaimer
ALL PRODUCTS SOLD BY AURUMLABS LTD ARE STRICTLY FOR IN-VITRO LABORATORY RESEARCH PURPOSES ONLY.
By placing an Order, you expressly acknowledge, represent and warrant the following:
— The Products are not medicinal products, are not licensed by the Medicines and Healthcare products Regulatory Agency (“MHRA”) or any other regulatory body, and have not been evaluated for safety, efficacy or quality for human or veterinary use.
— The Products are not intended for, and must not be used for, human consumption, human application, in-vivo administration, diagnostic purposes, therapeutic purposes, cosmetic use, food use, or use in or on any animal.
— You will use the Products solely for legitimate scientific research conducted in a controlled laboratory environment, and you will handle, store, dispose of and otherwise manage the Products in accordance with all applicable laws, regulations, codes of practice and good laboratory standards in your jurisdiction.
— You are solely responsible for determining the suitability of the Products for your intended research, and for ensuring you have the appropriate facilities, training, expertise and authorisations to handle them safely.
— You are not purchasing the Products on behalf of, or with the intention of supplying them to, any person who intends to use them for human or veterinary administration.
You agree that any use of the Products inconsistent with the foregoing is entirely at your own risk and is a material breach of these Terms. The Company accepts no liability whatsoever for any consequence arising from such misuse.
4. Orders and Formation of Contract
All Orders placed through the Site constitute an offer by you to purchase the Products on these Terms. The display of Products on the Site is an invitation to treat and not a binding offer of sale.
A Contract is formed only when we issue an order confirmation by email accepting your Order. Until that point, we may decline your Order at our sole discretion, including but not limited to where the Products are unavailable, where we are unable to verify your payment, or where we believe the Order does not comply with these Terms.
We reserve the right to cancel any Contract at any time prior to dispatch by giving you written notice and refunding any sums paid. Reasons for cancellation may include errors in pricing or product description, suspected fraud, or any reason permitted by law.
5. Pricing and Payment
All prices are stated in pounds sterling (GBP). AurumLabs Ltd is not currently VAT-registered; prices therefore do not include VAT. Once we become VAT-registered, prices will be updated to include UK VAT at the prevailing rate where applicable. Shipping charges are calculated at checkout and added to the Order total.
Orders shipping outside the United Kingdom may be subject to import VAT, customs duty and handling fees charged by the destination country. These charges are the Buyer’s sole responsibility and are not included in the Order total. They are typically collected by the delivery courier upon arrival.
Payment must be made in full at the time of Order through the payment methods made available on the Site. Title to the Products does not pass to you until payment has been received in cleared funds.
We use third-party payment processors to handle all transactions. We do not store full payment card details. Your use of the payment processor is subject to its own terms and privacy policy.
In the event of a pricing error on the Site, we are not obliged to fulfil any Order at the incorrect price and will notify you of the correct price, giving you the option to proceed at the correct price or cancel.
6. Shipping and Delivery
We aim to dispatch Orders within the timeframe stated at checkout, but any dispatch or delivery dates are estimates only and time is not of the essence.
Risk in the Products passes to you upon delivery to the address you provided at checkout. You are responsible for ensuring the delivery address is accurate; we are not liable for delays or non-delivery resulting from incorrect or incomplete address information.
If a delivery is unsuccessful and is returned to us due to a failure on your part to be available to accept it or to collect it from the carrier, we may charge a reasonable fee to cover the costs of re-delivery.
We reserve the right to refuse to ship to any address or jurisdiction at our discretion.
7. Returns and Refunds
Due to the nature of the Products, all sales are final. We do not accept returns, exchanges or refunds except in the limited circumstances set out below.
We will accept a return and provide a replacement or refund only where:
— We have shipped an item that does not match the Order you placed (i.e. an incorrect Product); and
— The item is reported to us in writing within 7 days of delivery; and
— The item is returned to us unused, unopened and in its original packaging.
We do not accept returns or provide refunds for any other reason, including but not limited to: change of mind, ordering the wrong Product, dissatisfaction with the Product, or any consequence arising from misuse of the Product. Because the Products are sold strictly for research use only, the statutory rights that would otherwise apply to consumer goods intended for personal use do not apply in the same way.
To initiate a return under this clause, contact us at support@aurum-labs.co with your Order number and a description of the issue. Do not return any item to us without prior written authorisation. Full details are set out in our Returns Policy.
8. Acceptable Use
You agree not to use the Site or any Products purchased through the Site:
— In any way that breaches any applicable local, national or international law or regulation;
— In any way that is unlawful, fraudulent or has any unlawful or fraudulent purpose or effect;
— To resell, re-supply or redistribute the Products without our prior written consent;
— To attempt to gain unauthorised access to the Site, the server on which it is stored, or any server, computer or database connected to it.
9. Intellectual Property
All content on the Site, including text, graphics, logos, images, product descriptions and software, is owned by or licensed to the Company and is protected by UK and international intellectual property laws. You may not copy, reproduce, modify, distribute or commercially exploit any content from the Site without our prior written consent.
10. Limitation of Liability
Nothing in these Terms shall limit or exclude our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded by law.
Subject to the above:
— We will not be liable to you for any indirect, special or consequential loss, including loss of profits, loss of revenue, loss of business, loss of data, or loss of goodwill, arising out of or in connection with these Terms, the Site or the Products.
— Our total aggregate liability to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, arising in connection with the Contract or these Terms shall not exceed the price paid by you for the specific Order giving rise to the claim.
— We accept no liability whatsoever for any loss, damage, injury or harm arising from any use of the Products other than for legitimate in-vitro laboratory research as set out in clause 3, and you agree to indemnify us against any third-party claim arising from such misuse.
We make no warranties or representations as to the Products beyond those expressly set out in these Terms. All other warranties, conditions and terms, whether express or implied by statute, common law or otherwise, are excluded to the fullest extent permitted by law.
11. Force Majeure
We will not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, pandemic, government action, fire, flood, strike, supply chain disruption, or failure of communications or transport systems.
12. Privacy
Our collection and use of your personal data is governed by our Privacy Policy, which is available on the Site and forms part of these Terms.
13. Governing Law and Jurisdiction
These Terms, the Contract and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
You and we both agree that the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.
14. General
We may revise these Terms from time to time by posting an updated version on the Site. The version of the Terms in force at the time you place an Order will apply to that Order.
If any provision of these Terms is found to be invalid, illegal or unenforceable, that provision shall be deemed deleted and shall not affect the validity and enforceability of the remaining provisions.
No failure or delay by us to exercise any right or remedy under these Terms shall constitute a waiver of that right or remedy.
These Terms constitute the entire agreement between you and us in relation to their subject matter and supersede all previous agreements, communications and representations between us.
A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of their provisions.
